These Terms of Service ("Terms") govern your use of the Siloa Facility Services ("Siloa," "we," "us," or "our") website, services, and communications, including our SMS/MMS messaging program. By accessing our website, using our services, or opting in to receive text messages from us, you agree to be bound by these Terms.
If you do not agree to these Terms, do not use our website, services, or messaging program.
About Siloa Facility Services.
Siloa Facility Services provides janitorial and light building maintenance services for healthcare facilities and administration offices in the United States. Our website and related communications are designed to provide information about our services, facilitate service inquiries and quotes, and support ongoing customer relationships.
Eligibility.
By using our website and services, you represent that you are at least 18 years of age and have the legal authority to enter into these Terms. If you are using our services on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.
SMS/MMS messaging terms and conditions.
This section governs your participation in Siloa Facility Services' SMS/MMS messaging program and should be read in conjunction with our Privacy Policy.
Program description.
By providing your mobile number and opting in on our website or through another authorized method, you consent to receive text messages from Siloa Facility Services. Messages are limited to:
Customer care communications: Service scheduling, confirmations, updates, follow-ups, and quality assurance communications
Account-related notifications: Invoices, payment reminders, contract updates, service reports, and administrative notices
Siloa Facility Services does not use SMS/MMS for promotional or marketing purposes. You will not receive sales offers, advertisements, or other commercial solicitations via text message from us.
Consent.
Your consent to receive text messages is voluntary. Consent is not a condition of purchasing any goods or services from Siloa Facility Services. You may provide consent by checking the designated opt-in box on our website forms, responding affirmatively to an opt-in request via text, or through any other method that produces a record of your express written consent.
By opting in, you authorize Siloa Facility Services and its service providers to send text messages to the mobile number you provide using automated technology, including an automated system for the selection and dialing of telephone numbers.
Message frequency.
Message frequency varies based on your account activity and service needs. You will not receive messages that exceed what is reasonably necessary to fulfill the purposes described in the Program Description above.
Message and data rates.
Standard message and data rates from your mobile carrier may apply. These charges are your responsibility and are not imposed by Siloa Facility Services. Contact your wireless provider for details about your messaging or data plan.
Opt-out.
You may opt out of receiving text messages at any time by replying STOP (or any other standard opt-out keyword such as CANCEL, END, QUIT, or UNSUBSCRIBE) to any message from us. Upon receipt of your opt-out request, we will send one final confirmation message to acknowledge your request. No further messages will be sent unless you re-subscribe.
We will honor your opt-out request within 10 business days as required by federal regulation, though most requests are processed immediately.
If you opt out of receiving messages, this does not affect any other communications you may receive from us (such as email or phone calls) unless you separately request to opt out of those channels.

Carrier liability.
Siloa Facility Services is not responsible for any delays, failures in delivery, or any other issues related to the transmission or receipt of text messages. Delivery of text messages is subject to effective transmission by your mobile carrier and is not guaranteed by Siloa Facility Services. Mobile carriers are not liable for delayed or undelivered messages.
Supported carriers.
Our messaging program is designed to work with major U.S. wireless carriers. However, not all carriers may be supported, and service availability may vary.
Messaging hours.
We will make reasonable efforts to send messages only during appropriate hours. We will not send customer support messages before 8:00 AM or after 8:00 PM in the recipient's local time zone.
Privacy of messaging data.
Your privacy is important to us. Please review our Privacy Policy for full details on how we collect, use, and protect your information related to our messaging program.
We do not sell, rent, loan, trade, lease, or otherwise transfer for profit any phone numbers or personal information collected through our SMS/MMS program to any third party for marketing or promotional purposes. All categories exclude text messaging originator opt-in data and consent; this information will not be shared with any third parties.
Use of our website.
Permitted use.
You may use our website for lawful purposes consistent with these Terms. You agree not to use our website to transmit any unlawful, harmful, threatening, abusive, or otherwise objectionable material, attempt to gain unauthorized access to any portion of our website or systems, interfere with or disrupt our website or servers, or collect or store personal data about other users without their consent.
Intellectual property.
All content, materials, and information created, owned, or provided by Siloa Facility Services—whether published on our website or communicated through any other channel—are the exclusive property of Siloa Facility Services or its licensors and are protected by applicable intellectual property laws, including copyright, trademark, and trade secret protections.
Protected materials include, without limitation: website content such as text, graphics, logos, images, and software; service proposals, quotes, scopes of work, and pricing structures; cleaning protocols, standard operating procedures, inspection frameworks, and proprietary methodologies; training materials, checklists, and operational documentation; brand elements including trade dress, service marks, taglines, and visual identity; and any other proprietary information shared during the course of business communications, service inquiries, or client engagements.
You may not reproduce, distribute, display, transmit, modify, create derivative works from, reverse engineer, or otherwise exploit any protected materials without the prior written consent of Siloa Facility Services. This restriction applies regardless of the medium or channel through which you received the materials, including but not limited to our website, email, electronic documents, printed materials, or verbal communications subsequently documented.
Unauthorized use, reproduction, or distribution of any protected materials may result in legal action, including claims for injunctive relief, damages, and recovery of attorney fees and costs to the fullest extent permitted by law.
Nothing in these Terms grants you any license, right, title, or interest in any intellectual property of Siloa Facility Services, whether by implication, estoppel, or otherwise, except for the limited right to access and view our website for personal, non-commercial informational purposes consistent with these Terms.
Proprietary technology: Coco AI™.
Coco AI™ is a proprietary artificial intelligence system designed, developed, and owned exclusively by Siloa Facility Services. Coco AI is the subject of pending patent and trademark applications. All rights, title, and interest in and to Coco AI—including all intellectual property rights therein—are and shall remain the exclusive property of Siloa Facility Services.
For the purposes of these Terms, "Coco AI" and "Coco AI Technology" encompass, without limitation, the following categories of protected intellectual property:
(a) System Architecture and Integration Design. The overall system architecture of Coco AI, including the specific configuration, integration, and orchestration of its component technologies: the AI reasoning and context processing layer, the agent orchestration framework, the voice interaction layer (including speech-to-text and text-to-speech components), the field service management API integrations, the NFC-based location validation system, the geofence-triggered activation system, and all connections, data flows, and logic binding these components into a unified operational platform. This includes all current and future iterations, versions, and enhancements of the system.
(b) Site Profile Architecture and Task Prioritization Methodology. The proprietary site profile system, including the methodology for creating room-by-room service profiles with associated task hierarchies, floor plan integrations, product assignments, client-specific requirements, and the task prioritization framework that governs service execution sequencing based on infection control priority, aesthetic maintenance, and periodic deep-clean scheduling.
(c) Master Knowledge Layer. The curated, structured body of operational knowledge assembled by Siloa Facility Services for use within Coco AI, including manufacturer product data, equipment-to-surface mapping, disinfectant contact time specifications, ISSA color-coding standard implementations, CDC and EPA healthcare cleaning guideline interpretations, Safety Data Sheet integrations, and all other reference data organized and formatted for real-time contextual delivery to cleaning crews. This compiled knowledge base constitutes a proprietary work product regardless of whether individual source materials are publicly available.
(d) Operational Data and System Outputs. All data generated through the operation of Coco AI, including task completion records, photo documentation, crew interaction logs, voice interaction data, quality metrics, performance analytics, real-time job progress data, geolocation records, NFC validation logs, and any derived datasets, reports, dashboards, or analyses produced from such data. This data is and shall remain the exclusive property of Siloa Facility Services.
(e) Training Materials and Adaptive Intelligence. All training data, prompt engineering, system instructions, behavioral configurations, workflow logic, dynamic reprioritization algorithms, and any machine learning outputs or refinements developed through the operation and iteration of Coco AI.
(f) Brand Identity. The name "Coco," "Coco AI," and all associated branding, trade dress, logos, visual identity elements, and marketing materials related to the Coco AI system are trademarks or pending trademarks of Siloa Facility Services.
You may not, and may not permit any third party to: reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, architecture, or integration design of Coco AI; copy, reproduce, modify, adapt, or create derivative works based on any component of Coco AI Technology; access, extract, scrape, or harvest any data generated by or flowing through Coco AI; use any knowledge gained through exposure to Coco AI or its outputs to develop, enhance, or assist in the development of any competing product, service, or system; disclose, publish, or disseminate any information about the technical design, functionality, capabilities, or methodologies of Coco AI to any third party; or remove, alter, or obscure any proprietary notices, labels, or markings associated with Coco AI.
Siloa Facility Services reserves all rights not expressly granted in these Terms. No license, right, or interest in Coco AI Technology is granted by implication, estoppel, or otherwise through your use of our website, services, or any interaction with Coco AI or its outputs. Any access to Coco AI outputs, including quality reports, photo documentation, dashboards, or service analytics, is limited to the specific purpose for which such access was granted under a separate written service agreement and does not confer any rights to the underlying technology.
Unauthorized use, reproduction, reverse engineering, or disclosure of any Coco AI Technology may result in legal action, including claims for injunctive relief, damages, and recovery of attorney fees and costs under applicable intellectual property, trade secret, and patent laws, including the Defend Trade Secrets Act (18 U.S.C. § 1836), the Florida Uniform Trade Secrets Act (§ 688.001–688.009, Fla. Stat.), and any applicable patent protections.
Accuracy of information.
While we strive to provide accurate and current information on our website, we do not warrant that all content is complete, accurate, or up to date. Information on our website is provided for general informational purposes and does not constitute a binding offer or guarantee.
Service inquiries and quotes.
Submitting a service inquiry or quote request through our website does not create a binding contract or obligation. All service agreements are subject to separate written contracts between Siloa Facility Services and the client, which will contain their own Terms, scope, pricing, and conditions.

OUR WEBSITE, SERVICES, AND PROPRIETARY TECHNOLOGY SYSTEMS ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY.
We do not warrant that our website will be uninterrupted, error-free, or free of viruses or other harmful components.
Limitation of liability.

BY SUBSCRIBING TO OUR SMS/MMS SERVICES, YOU ACKNOWLEDGE AND AGREE THAT SILOA FACILITY SERVICES WILL NOT BE LIABLE FOR ANY DAMAGES, LOSSES, OR INJURIES ARISING FROM OR RELATED TO THE USE OR FAILURE TO RECEIVE ANY TEXT MESSAGES, INCLUDING BUT NOT LIMITED TO DELAYS, NON-DELIVERY, OR TECHNICAL ISSUES.
Indemnification.
You agree to indemnify, defend, and hold harmless Siloa Facility Services and its officers, directors, employees, agents, and service providers from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of our website, services, proprietary technology systems, or messaging program, your violation of these Terms, or your violation of any rights of a third party.
